VIDJET TECHNOLOGIES S.L. (Clarmix)

These Terms and Conditions of Sale (TCS) are entered into between:
VIDJET TECHNOLOGIES S.L., a Spanish limited liability company (Sociedad Limitada), with its registered office at C/ Llacuna, 162, 08018 - Barcelona, Spain, with VAT number ESB01903244 and NIF B01903244. The Client: Any natural or legal person, including independent e-commerce brands, independent consultants working for these brands, and agencies offering services related with Google Ads.
VIDJET TECHNOLOGIES S.L., through its product Clarmix, provides the following services:
The free features include a comprehensive and real-time audit of campaigns and products, with labeling of all products. The limited and paid features allow the generation of XML feeds to automatically optimize products in Google Ads campaigns.
Access to the platform is via email registration or directly through a Google account. We use authentication cookies to maintain user connections, even after the browser is closed. We accept all users managing one or more Google Ads accounts in most sectors, with the exception of the tobacco, alcohol, sex industries, or any niche related to drugs or illegal activities.
Users agree to adhere to a fair usage policy and not to attempt to reverse-engineer our platform or any technological innovation we have developed.
We use the Stripe platform for payments. Purchasing a subscription triggers a free trial period. During this period, users can use all the platform's features without restriction. They can cancel their subscription during this trial period. If the subscription is not canceled, they will be billed at the end of the trial period. The invoice amount depends on the number of products synchronized in Google Ads. Our rates are transparent and displayed on our website.
Our refund policy allows a full and no-questions-asked refund of the last monthly invoice. To request this, simply contact us via chat or at hello+legal@clarmix.com.
Our clients can use our tool without a long-term commitment. Subscriptions are monthly and renew each month on a given date. To terminate, clients can access the Settings page and click on Manage Billing. They will be redirected to their Stripe portal, where they can view their billing and billing cycle and will have the option to terminate with one click.
The consequences of termination comply with GDPR. The account and all Google Ads data from synchronized accounts will be deleted. If the client wishes to simply pause their subscription while retaining their account and associated data, they can notify us directly via chat or at hello+legal@clarmix.com.
All software, code, and elements of our platform are the property of our company, VIDJET TECHNOLOGIES S.L. The usage license granted to clients allows them to benefit from all the platform's features but does not confer any rights to the intellectual property. To avoid any copying of our platform or the product labeling logic used by Clarmix, and to protect the data and content of our clients or Google Ads accounts connected to Clarmix, this information may not be exploited, shared, or resold without prior authorization from the client. By client, we mean the e-commerce brand owning this data.
We are committed to respecting the confidentiality of our clients' data. The session cookies used by our platform do not allow users to be identified and comply with GDPR regulations. The collected data is used solely to provide the services described in these TCS.
Once your Google Ads account is connected, we collect the product feed from Google Ads as well as the performance and data related to the campaigns. We use the official Google API and are official Google partners. We are committed to complying with Google's policies, particularly those of the Google Ads API and Google Merchant Center, as well as Google Auth 2.0 for identification on our platform.
Data is hosted with Amazon Web Services on servers located in Europe, in Dublin. All necessary security measures have been implemented to protect client data related to their products and Google Ads campaigns. These measures include, but are not limited to:
In the event of a data leak or breach, VIDJET TECHNOLOGIES S.L. undertakes to:
Clients acknowledge and accept that, despite the security measures in place, no method of data transmission or storage is completely secure. Therefore, VIDJET TECHNOLOGIES S.L. cannot guarantee the absolute security of data.
VIDJET TECHNOLOGIES S.L. guarantees a service availability of 99% on a monthly basis, excluding scheduled maintenance. The provided data is accurate to 95%, subject to the inherent limitations of third-party sources (e.g., synchronization differences related to time zones).
To the extent permitted by law, VIDJET TECHNOLOGIES S.L. will not be liable for any indirect, special, or consequential damages, including loss of profits or data, even in the event of negligence. The total liability of VIDJET TECHNOLOGIES S.L. is limited to the amount of fees paid by the client during the three (3) months preceding the incident.

The client retains ownership of their data and may, at any time, request its deletion or export, subject to reasonable technical delays.
These TCS are governed by Spanish law. Any dispute relating to the interpretation or execution of these TCS shall be subject to the exclusive jurisdiction of the Spanish courts.
We reserve the right to modify these TCS at any time. Modifications will take effect upon publication on our website. Clients will be informed of modifications by email or via a notification on the platform.
These TCS constitute the entire agreement between the parties and supersede any prior agreement. In the event of force majeure, VIDJET TECHNOLOGIES S.L. will not be responsible for service interruptions. The non-waiver of a right or provision of these TCS does not constitute a waiver of that right or provision.
